1. Introduction and Acceptance

Welcome to Precision Engineering Works ("Company", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and products. By accessing or using our website at your-domain.com, you agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree with any part of these Terms, you must not use our website or services. We reserve the right to modify these Terms at any time, and your continued use of the website constitutes acceptance of such modifications.

2. Definitions

For the purposes of these Terms:

  • "Client" or "Customer" refers to any individual or entity that purchases or uses our services.
  • "Services" refers to all precision engineering, manufacturing, machining, and related services provided by the Company.
  • "Products" refers to all items, components, parts, and materials manufactured, supplied, or delivered by the Company.
  • "Website" refers to your-domain.com and all associated subdomains and pages.
  • "Agreement" refers to these Terms and Conditions together with any quotations, specifications, and purchase orders.

3. Services and Products

3.1 Service Scope

Precision Engineering Works provides precision engineering services including but not limited to CNC machining, metal fabrication, prototype development, custom manufacturing, and related technical services. All services are provided subject to these Terms and any specific agreements made in writing.

3.2 Specifications and Quotations

All quotations are valid for 30 days unless otherwise specified. Specifications provided by customers must be accurate and complete. We reserve the right to refuse any project that is technically unfeasible, unsafe, or outside our capabilities. Any changes to specifications after acceptance may result in additional costs and extended delivery times.

3.3 Quality Standards

All products and services are manufactured to meet agreed specifications and industry standards. We maintain quality control procedures, but customers are responsible for final inspection and acceptance testing of delivered products.

4. Orders, Pricing, and Payment

4.1 Order Acceptance

Orders are subject to acceptance by the Company. We reserve the right to refuse or cancel any order for any reason including but not limited to product availability, errors in pricing or product information, or suspected fraud.

4.2 Pricing

All prices are quoted in Czech Koruna (CZK) or Euro (EUR) and exclude VAT unless otherwise stated. Prices are subject to change without notice. The price applicable to your order is the price confirmed at the time of order acceptance.

4.3 Payment Terms

Standard payment terms are 50% deposit upon order confirmation and 50% upon completion before delivery, unless otherwise agreed in writing. Payment is due within 14 days of invoice date. Late payments may incur interest charges at the rate of 0.05% per day. We reserve the right to suspend work or withhold delivery for overdue accounts.

4.4 Deposits and Cancellations

Deposits are non-refundable once work has commenced. Cancellation of orders may result in charges for work completed and materials purchased. Custom or made-to-order items cannot be cancelled once production has begun.

5. Delivery and Transfer of Risk

5.1 Delivery Times

Delivery dates are estimates only and are not guaranteed. We will make reasonable efforts to meet agreed delivery schedules, but we are not liable for any delays. Time is not of the essence unless expressly agreed in writing.

5.2 Transfer of Risk

Risk of loss or damage to products passes to the customer upon delivery or collection. Title to products remains with the Company until full payment has been received.

5.3 Inspection and Acceptance

Customers must inspect all deliveries within 5 working days. Any defects, shortages, or discrepancies must be reported to us in writing within this period. Failure to do so constitutes acceptance of the products as delivered.

6. Intellectual Property Rights

6.1 Company IP

All intellectual property rights in our website, services, processes, methods, and materials remain the exclusive property of Precision Engineering Works. This includes but is not limited to trademarks, logos, designs, text, graphics, software, and technical documentation.

6.2 Customer IP

Customers retain all intellectual property rights in their designs, specifications, and technical data provided to us. By providing such materials, customers grant us a non-exclusive license to use them solely for the purpose of fulfilling their orders.

6.3 Confidentiality

We will maintain confidentiality of all customer designs, specifications, and proprietary information. We will not disclose such information to third parties without prior written consent, except as required by law or to fulfill the services requested.

6.4 License Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our website except as necessary for your own personal, non-commercial use.

7. Warranties and Disclaimers

7.1 Limited Warranty

We warrant that our products will be free from defects in materials and workmanship for a period of 12 months from delivery when used in accordance with specifications and normal operating conditions. This warranty is limited to repair or replacement of defective products at our discretion.

7.2 Warranty Exclusions

Our warranty does not cover: (a) normal wear and tear; (b) damage caused by misuse, abuse, or improper installation; (c) modifications or repairs by unauthorized parties; (d) products not used in accordance with specifications; (e) consumable items.

7.3 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

8.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.

8.2 Consequential Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, supply chain disruptions, government actions, or natural disasters.

9. User Obligations and Prohibited Uses

9.1 Acceptable Use

When using our website and services, you agree to:

  • Provide accurate and complete information
  • Comply with all applicable laws and regulations
  • Respect intellectual property rights
  • Use services only for lawful business purposes
  • Maintain the security of your account credentials

11. Termination

11.1 Termination by Company

We reserve the right to terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason including but not limited to breach of these Terms, non-payment, or illegal activities.

11.2 Termination by Customer

Customers may terminate ongoing service agreements by providing 30 days' written notice, subject to payment for all work completed and costs incurred up to the termination date.

11.3 Effect of Termination

Upon termination, your right to use our services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Jurisdiction

12.1 Applicable Law

These Terms and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the Czech Republic, and you hereby consent to the personal jurisdiction and venue of such courts.

12.3 International Users

If you access our website from outside the Czech Republic, you are responsible for compliance with local laws in your jurisdiction. We make no representation that our services are appropriate or available for use in all locations.

13. Dispute Resolution

13.1 Negotiation

In the event of any dispute or claim arising from these Terms, the parties agree to first attempt to resolve the matter through good faith negotiation for a period of 30 days before initiating formal proceedings.

13.2 Mediation

If negotiation fails, the parties agree to attempt mediation before pursuing litigation. The mediation shall be conducted in accordance with the rules of the Czech Arbitration Court or another mutually agreed mediation service.

13.3 Legal Proceedings

If mediation is unsuccessful, either party may commence legal proceedings. Each party shall bear its own costs and legal fees unless otherwise awarded by the court.

14. Indemnification

You agree to indemnify, defend, and hold harmless Precision Engineering Works, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

  • Your use of our website and services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Designs, specifications, or materials provided by you
  • Your use or misuse of products delivered by us

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any written agreements, constitute the entire agreement between you and Precision Engineering Works regarding the use of our services and supersede all prior agreements and understandings.

15.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.

15.4 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.

15.6 Third-Party Rights

These Terms do not create any third-party beneficiary rights except as expressly stated herein.

15.7 Language

These Terms may be translated into other languages for convenience. In case of any conflict between the English version and any translation, the English version shall prevail.
